1. Introduction
Welcome to GrabShare, operated by GrabOn. These Terms and Conditions outline the rules for using our website and services. By accessing or using our platform, you agree to follow these Terms. We encourage you to read them carefully to understand how our services work.
1. Definitions & Interpretation
1.1 Definitions
In these Terms and Conditions ("Terms"), unless the context otherwise requires:
- "Platform" means the GrabShare website, mobile application, and all related services operated by GrabOn
- "Company" or "GrabOn" or "We" or "Us" means InspireLabs Solutions Pvt. Ltd., a company incorporated under the Companies Act, 2013
- "User" or "You" means any individual or entity accessing or using the Platform
- "Affiliate" means a User who participates in our affiliate marketing program
- "Merchant" means third-party retailers, brands, or service providers whose products/services are promoted through the Platform
- "Commission" means the monetary reward earned by Affiliates for successful referrals
- "Content" includes all text, graphics, images, software, and other materials on the Platform
- "Personal Data" has the meaning ascribed under the Information Technology Act, 2000 and rules thereunder
1.2 Interpretation
- Words importing the singular include the plural and vice versa
- References to statutory provisions include any modification or re-enactment thereof
- Headings are for convenience only and shall not affect interpretation
2. ACCEPTANCE AND MODIFICATION OF TERMS
2.1 Agreement Formation
By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, which constitute a legally binding agreement between you and the Company. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
2.2 Capacity to Contract
You represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into binding contracts
- You are not prohibited from receiving services under Indian law or other applicable jurisdictions
- All information provided by you is accurate, current, and complete
2.3 Modification of Terms
The Company reserves the right to modify these Terms at any time without prior notice. Modifications will be effective immediately upon posting on the Platform. Your continued use of the Platform after any modification constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically.

3. ACCOUNT REGISTRATION AND MANAGEMENT
3.1 Registration Requirements
To become an Affiliate, you must:
- Complete the registration process by providing accurate, current, and complete information
- Verify your identity through our KYC (Know Your Customer) process in compliance with RBI guidelines
- Provide valid government-issued identification (Aadhaar, PAN, Passport, or Driver's License)
- Submit proof of address (utility bills, bank statements, or rental agreements not older than 3 months)
- Provide bank account details for commission payments
- Agree to all applicable terms, policies, and guidelines
3.2 KYC Compliance
In accordance with the Prevention of Money Laundering Act, 2002, and RBI guidelines:
- All Users must complete mandatory KYC verification before accessing earning features
- We reserve the right to request additional documentation at any time
- Failure to complete KYC may result in account suspension or termination
- Users investing more than ₹10,000 across platforms must provide Chartered Accountant certification of minimum net worth of ₹50,000
3.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized use or security breach
- Using strong passwords and enabling two-factor authentication when available
3.4 Account Suspension and Termination
We may suspend or terminate your account immediately without notice if:
- You violate these Terms or any applicable laws
- You engage in fraudulent, harmful, or abusive conduct
- You provide false or misleading information
- Your account remains inactive for more than 12 months
- We reasonably believe such action is necessary to protect our interests or other users
4. AFFILIATE PROGRAM TERMS
4.1 Program Participation
Participation in the affiliate program is subject to:
- Approval of your application at our sole discretion
- Compliance with all program guidelines and merchant requirements
- Adherence to ethical marketing practices and disclosure requirements
- Maintenance of good standing in the program
4.2 Commission Structure
- Commission rates vary by merchant and product category
- Rates are clearly displayed on the Platform and subject to change without notice
- Commissions are earned only on completed, verified, and non-refunded transactions
- We reserve the right to adjust or withhold commissions for suspected fraud or policy violations
4.3 Payment Terms
- Minimum withdrawal threshold: ₹500
- Payment processing time: 7-15 business days after request
- Payments are subject to applicable tax deductions at source (TDS) as per Indian tax laws
- All fees, charges, and taxes are the User's responsibility
4.4 Prohibited Activities
Affiliates are strictly prohibited from:
- Using misleading, false, or deceptive marketing practices
- Engaging in spam, unsolicited communications, or aggressive marketing tactics
- Bidding on trademark terms or brand names in paid advertising
- Creating fake reviews, testimonials, or social media accounts
- Using incentivized traffic or click farms
- Violating any merchant's terms of service or intellectual property rights
- Engaging in any form of fraudulent activity or click manipulation
5. USER CONDUCT AND RESPONSIBILITIES
5.1 Acceptable Use
Users must:
- Use the Platform only for lawful purposes and in accordance with these Terms
- Respect the intellectual property rights of the Company and third parties
- Provide accurate and truthful information in all communications
- Comply with all applicable laws, regulations, and industry standards
- Maintain professional conduct in all Platform-related activities
5.2 Prohibited Conduct
Users shall not:
- Violate any applicable laws or regulations
- Infringe upon any intellectual property rights
- Transmit viruses, malware, or any harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Engage in any activity that disrupts or interferes with the Platform
- Use automated tools, bots, or scripts without written permission
- Harass, threaten, or discriminate against other users
5.3 Content Guidelines
When creating or sharing content:
- Ensure all content is original or properly licensed
- Do not include offensive, harmful, or inappropriate material
- Comply with applicable advertising standards and disclosure requirements
- Respect community guidelines and cultural sensitivities
- Obtain necessary permissions for use of third-party content
6. INTELLECTUAL PROPERTY RIGHTS
6.1 Company Intellectual Property
All Platform content, including but not limited to:
- Software, technology, and algorithms
- Trademarks, service marks, and logos
- Text, graphics, images, and multimedia content
- Design, layout, and user interface elements
remains the exclusive property of the Company or its licensors. Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for its intended purposes.
6.2 User-Generated Content
By submitting content to the Platform, you:
- Grant us a worldwide, royalty-free, perpetual license to use, modify, and distribute such content
- Represent that you own or have the necessary rights to the content
- Warrant that the content does not infringe any third-party rights
- Agree that we may remove any content at our sole discretion
6.3 Trademark Usage
Use of Company trademarks is subject to:
- Prior written approval from the Company
- Compliance with our brand guidelines
- Immediate cessation upon request
- No creation of derivative works or modifications
7. COMPLIANCE AND LEGAL OBLIGATIONS
7.1 Regulatory Compliance
The Platform operates in compliance with:
- Information Technology Act, 2000 and rules thereunder
- Consumer Protection Act, 2019
- Prevention of Money Laundering Act, 2002
- Goods and Services Tax Act, 2017
- Foreign Exchange Management Act, 1999
- Securities and Exchange Board of India regulations (where applicable)
7.2 Consumer Protection
In accordance with the Consumer Protection Act, 2019:
- All advertising must be truthful and not misleading
- Material connections between affiliates and merchants must be disclosed
- Product representations must be accurate and verifiable
- Consumer complaints will be addressed through our grievance redressal mechanism
7.3 Tax Obligations
Users are responsible for:
- Declaring affiliate income in their tax returns
- Paying applicable direct and indirect taxes
- Obtaining necessary tax registrations (GST, professional tax, etc.)
- Maintaining proper records for tax compliance
7.4 Anti-Money Laundering
We maintain strict AML policies including:
- Customer due diligence procedures
- Transaction monitoring and reporting
- Suspicious activity identification and reporting
- Record maintenance as per regulatory requirements
8. PRIVACY AND DATA PROTECTION
8.1 Data Collection and Use
We collect and process personal data in accordance with our Privacy Policy and applicable laws including:
- Information Technology Act, 2000
- Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011
- Upcoming Personal Data Protection Bill provisions
8.2 Data Security
We implement:
- Industry-standard encryption and security measures
- Regular security audits and vulnerability assessments
- Access controls and authentication mechanisms
- Incident response and breach notification procedures
8.3 Third-Party Sharing
Personal data may be shared with:
- Merchant partners for transaction processing
- Payment processors for commission payments
- Regulatory authorities as legally required
- Service providers under strict confidentiality agreements
9. PAYMENT AND FINANCIAL TERMS
9.1 Commission Calculation
Commissions are calculated based on:
- Net sale value after returns, cancellations, and adjustments
- Merchant-specific commission rates
- Valid tracking through approved affiliate links
- Compliance with all program terms and conditions
9.2 Payment Processing
- Payments are processed through RBI-authorized payment systems
- All transactions are subject to applicable banking regulations
- International payments (if any) comply with FEMA requirements
- Processing fees may be deducted as per prevailing rates
9.3 Dispute Resolution
Payment disputes will be resolved through:
- Initial review by our customer service team
- Escalation to senior management if unresolved
- Mediation through industry bodies if necessary
- Final arbitration as per the Arbitration and Conciliation Act, 2015
10. LIMITATION OF LIABILITY
10.1 Service Availability
The Platform is provided "as is" and "as available." We do not guarantee:
- Uninterrupted or error-free service
- Accuracy or completeness of information
- Compatibility with all devices or systems
- Availability of specific merchants or commission rates
10.2 Limitation of Damages
To the maximum extent permitted by law, our liability is limited to:
- Direct damages only (no consequential, indirect, or punitive damages)
- The amount of commissions earned in the 12 months preceding the claim
- Actual damages proven with reasonable certainty
10.3 Indemnification
Users agree to indemnify and hold harmless the Company from:
- Claims arising from User's violation of these Terms
- Intellectual property infringement claims
- Third-party claims related to User's marketing activities
- Regulatory penalties due to User's non-compliance
11. DISPUTE RESOLUTION AND GOVERNING LAW
11.1 Governing Law
These Terms are governed by the laws of India, and courts in Hyderabad, Telangana shall have exclusive jurisdiction over any disputes.
11.2 Dispute Resolution Process
- Informal Resolution: Users must first attempt to resolve disputes through our customer service team
- Mediation: Unresolved disputes may be referred to mediation through a recognized mediation center
- Arbitration: Final disputes will be resolved through arbitration under the Arbitration and Conciliation Act, 2015
- Judicial Proceedings: Only after exhausting alternative dispute resolution mechanisms
11.3 Class Action Waiver
Users waive the right to participate in class actions or collective proceedings and agree to resolve disputes individually.
12. TERMINATION
12.1 Termination by User
Users may terminate their account at any time by:
- Providing 30 days written notice
- Completing all pending obligations
- Returning any confidential information
- Ceasing use of all Company intellectual property
12.2 Termination by Company
We may terminate accounts for:
- Material breach of these Terms
- Suspected fraudulent activity
- Legal or regulatory requirements
- Business reasons with 30 days notice
12.3 Effect of Termination
Upon termination:
- User access to the Platform will cease immediately
- Outstanding commissions will be paid subject to verification
- All licenses granted to User will terminate
- Provisions that should survive termination will remain in effect
13. MISCELLANEOUS PROVISIONS
13.1 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
13.2 Force Majeure
Neither party will be liable for delays or failures due to circumstances beyond their reasonable control, including natural disasters, government actions, or technical failures.
13.3 Assignment
Users may not assign or transfer their rights under these Terms without written consent. The Company may assign these Terms to affiliates or successors.
13.4 Notices
All notices must be in writing and delivered to the addresses specified in the account information or as updated through the Platform.
13.5 Entire Agreement
These Terms, together with the Privacy Policy and other referenced policies, constitute the entire agreement between the parties and supersede all prior agreements.
